Article 1 – Definitions

In these terms and conditions, the following definitions apply:

1. Reflection period: the period within which the consumer can make use of the right of withdrawal.

2. Consumer: the natural person who does not act in the exercise of a profession or business.

3. Day: calendar day.

4. Duration transaction: a distance contract regarding a series of products and/or services.

5. Durable data carrier: any means that enables information to be stored and consulted unchanged.

6. Right of withdrawal: the consumer’s right to dissolve the distance contract within the cooling-off period.

7. Model form: the withdrawal form made available by the entrepreneur.

8. Entrepreneur: Emillion LLC.

9. Distance contract: an agreement concluded using distance communication.

10. Technique for distance communication: means used to conclude an agreement without physical presence.

11. General Terms and Conditions: the present terms.

Emillion LLC operates as a US-based company. For EU consumers, Emillion LLC acts as a non-EU trader offering distance sales into the European Union.

Article 3 – Applicability

These general terms and conditions apply to every offer and every distance contract between Emillion LLC and the consumer.

Before the agreement is concluded, these terms will be made available electronically in a way that allows the consumer to store them on a durable data carrier.

If any provision is wholly or partially void, the remaining provisions remain in force. The void provision will be replaced by a provision that most closely reflects its original intent.

Situations not regulated in these terms shall be assessed in the spirit of these terms.

Article 4 – The Offer

All offers are without obligation and may be changed at any time.

Descriptions, images, and specifications are indicative. Minor deviations do not entitle the consumer to compensation or dissolution.

Obvious errors or mistakes in the offer do not bind Emillion LLC.

Article 5 – The Agreement

The agreement is concluded at the moment of acceptance by the consumer.

Electronic orders will be confirmed electronically.

Emillion LLC reserves the right to refuse orders or attach conditions based on reasonable business or legal grounds.

All agreements are subject to availability.

Article 6 – Right of Withdrawal (EU Consumers)

The consumer has the right to withdraw from the contract within 14 days after receipt of the product, without giving any reason.

The product must be returned:

• Unused

• In original condition

• In original packaging where reasonably possible

The consumer must notify Emillion LLC within 14 days and return the product within 14 days thereafter.

Article 7 – Costs in Case of Withdrawal

Return shipping costs are borne by the consumer unless the return is due to defect or error by Emillion LLC.

Refunds will be processed within 14 days after receipt of the returned goods or proof of return.

Any depreciation caused by unnecessary handling may be charged to the consumer.

Article 8 – Exclusion of the Right of Withdrawal

The right of withdrawal is excluded for:

a. Custom-made or personalized products
b. Clearly personal products
c. Products that cannot be returned by nature
d. Perishable products
e. Products subject to market fluctuations
f. Sealed audio/video/software once unsealed
g. Hygienic products once unsealed

This includes any products that, due to their nature, are intended for personal use, mouth contact, skin contact, or hygienic sensitivity, even if such use is not the intended purpose of Emillion LLC.

Article 9 – Prices

All prices include applicable taxes unless stated otherwise.

Price changes due to VAT or legal changes are permitted.

Printing or typographical errors do not bind Emillion LLC.

Article 10 – Conformity and Warranty

Products must conform to the agreement and reasonable expectations.

Defects must be reported within a reasonable time after discovery.

Warranty does not apply in case of misuse, modification, improper handling, or use contrary to instructions or intended purpose.

Emillion LLC does not guarantee suitability for any specific application beyond the stated intended use.

Article 11 – Delivery and Execution

Orders are processed with due care and delivered within a reasonable period, normally within 30 days.

Delivery times are indicative.

Risk passes to the consumer upon delivery.

Emillion LLC does not offer or sell products intended for use as tobacco products, electronic cigarettes, vaping devices, or related smoking or inhalation products.

Article 12 – Duration Transactions

For indefinite contracts, cancellation is possible with a maximum notice period of one month.

Fixed-term contracts may be terminated at the end of the term with a maximum notice period of one month.

Tacit renewal is subject to applicable consumer law.

Article 13 – Payment

Payment must be made using the methods offered.

The consumer must immediately report incorrect payment details.

In case of non-payment, reasonable collection costs may be charged.

Article 14 – Complaints Procedure

Complaints must be submitted in writing within a reasonable time after discovery.

Complaints will be answered within 14 days.

Article 15 – Governing Law and Jurisdiction

For consumers residing in the European Union, mandatory consumer protection laws of the consumer’s country of residence shall apply.

For all other matters, these terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America.

The Vienna Sales Convention (CISG) is excluded.

Article 16 – Additional or Deviating Provisions

Additional or deviating provisions may not be to the detriment of the consumer and must be recorded in writing or on a durable data carrier.
